This End-User License Agreement (“EULA”) is a legal agreement between you (“User,” “you,” or “your”) and Insurasoft LLC (“Insurasoft,” “we,” “us,” or “our”) for the use of Insurasoft’s software products, including the Optima Series and The Machine.

1. Grant of License

Insurasoft grants you a non-exclusive, non-transferable, limited license to install and use the software solely for your internal business operations related to insurance agency and brokerage management, in accordance with this EULA and any applicable documentation.

2. Restrictions

You may not:

• Sell, sublicense, distribute, rent, lease, or otherwise transfer the software to any third party.
• Modify, adapt, translate, or create derivative works based on the software.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, except as expressly permitted by law.
• Use the software for any unlawful purpose or in violation of any applicable law or regulation.
• Remove or alter any proprietary notices or labels on the software.

3. Ownership

The software is licensed, not sold. Insurasoft retains all right, title, and interest in and to the software, including all intellectual property rights. This EULA does not grant you any rights to Insurasoft’s trademarks or service marks.

4. Updates and Support

Insurasoft may provide updates, upgrades, or patches at its discretion. This EULA applies to all such updates unless accompanied by a separate license. Support services may be available under a separate agreement.

5. Termination

This EULA is effective until terminated. It will terminate automatically if you fail to comply with any term. Upon termination, you must cease all use of the software and destroy all copies in your possession.

6. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. INSURASOFT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. INSURASOFT DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INSURASOFT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. INSURASOFT’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE SOFTWARE LICENSE.

8. Governing Law

This EULA shall be governed by the laws of the State of Texas, USA, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts located in Travis County, Texas.

9. Entire Agreement

This EULA constitutes the entire agreement between you and Insurasoft regarding the software and supersedes all prior agreements. If any provision is found invalid, the remaining provisions will remain in effect.
